Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nova, an AI assistant application for macOS developed and distributed by Nova Labs LLC ("Nova," "we," "us," or "our"). By downloading, purchasing, activating, or using Nova, you agree to be bound by these Terms. If you do not agree, please do not use the app.

Acceptance

By installing or using Nova, you confirm that you have read, understood, and accepted these Terms, and that you are legally capable of entering into this agreement. Purchasing a license constitutes your acceptance as well. If you are using Nova on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. We may update these Terms from time to time; the most current version will always be available on this page, and continued use of Nova after an update takes effect means you accept the revised Terms.

License Grant

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use Nova on up to two (2) Mac computers that you own or control. Each license key activates the app on those two devices. The license is for your own use only; you may not rent, lease, lend, resell, or otherwise make Nova available to third parties, and you may not share your license key with others. Any use beyond the scope of this license is unauthorized and may result in termination of your license.

Payment & Refund

Nova is offered as a one-time purchase of $19 (USD) per license. There are no subscription fees, and no recurring charges. Payment is processed at the time of purchase by our payment provider. If you are not satisfied with Nova, you may request a full refund within fourteen (14) days of your purchase date by emailing support@getnova.top with the email address used for the purchase. Refunds are issued to the original payment method and typically appear within 5–10 business days. Requests received after the 14-day period are evaluated at our discretion, except where longer rights are granted by applicable consumer law. All prices are stated in US dollars unless otherwise indicated, and you are responsible for any applicable taxes.

Updates

From time to time, we may release updates, patches, or new versions of Nova at our discretion. Updates may add, change, or remove features, and may require your acceptance of revised Terms. Your license covers updates released for the major version of Nova you purchased while that version is supported; we are not obligated to provide updates, support, or maintenance for any particular period. We may also discontinue a version after reasonable notice.

Intellectual Property

Nova, including its source code, user interface, design, graphics, documentation, and all associated intellectual property, is owned by Nova Labs LLC and its licensors and is protected by copyright, trademark, and other laws. These Terms grant you only the limited license described above and do not transfer any ownership. All rights not expressly granted to you are reserved by us. "Nova" and related names and logos are our trademarks and may not be used without our prior written permission.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT NOVA WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY VERSION OF MACOS OR EVERY DEVICE. WE DO NOT GUARANTEE ANY PARTICULAR RESULT FROM YOUR USE OF NOVA, AND ANY OUTPUT GENERATED BY NOVA SHOULD BE REVIEWED AND VERIFIED BY YOU BEFORE RELIANCE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVA LABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, NOVA. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO NOVA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE (USD $19). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Nova Labs LLC, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of Nova, your violation of these Terms, or your violation of any rights of a third party. We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of Nova shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
